Terms of Service

Effective date: April 23, 2026

These Terms govern your use of AdaptBuild (“the Service”), a product operated by Adaptensor, Inc. By signing in, you agree to them. If you’re accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts

You’re responsible for keeping your credentials secret and for all activity under your account. Notify us at security@adaptensor.com if you suspect unauthorized access.

2. Trial + subscription

• New organizations receive a 30-day trial with Business-plan access — unlimited voice, unlimited projects, everything included.
• At trial end, organizations auto-downgrade to Free unless they’ve selected a paid plan. Accounts on Free retain access to their data and a single active project.
• Paid plans are billed monthly or annually via Stripe through billing.adaptensor.com. Fees are non-refundable except as required by law.
• Existing subscribers on prior pricing (Starter, Professional, legacy Business) keep the usage caps in effect at the start of their current billing term. Changes to the pricing ladder do not silently downgrade caps mid-term.

Current plan ladder (effective April 20, 2026):

All paid plans include the PTT Walkie-Talkie feature with unlimited channels. The Free plan includes a single PTT channel.

3. Acceptable use

You agree not to:

• Upload content you don’t have rights to or that violates privacy or construction-site safety regulations.
• Use the Service to harass, defame, or endanger another person.
• Reverse-engineer, scrape, or abuse rate limits.
• Use AdaptGent output as a substitute for licensed engineering, legal, or medical judgment.

4. AI output (AdaptGent)

AdaptGent generates drafts — incident summaries, toolbox talks, hazard alerts, photo-derived punch items. Safety-critical output is marked requires human review and will not auto-publish. You remain responsible for the accuracy of what you submit or sign.

5. E-signatures

Signatures collected through AdaptDoc are legally binding electronic signatures under the U.S. ESIGN Act and equivalent state laws. Optional GPS and timestamp data may be embedded to evidence the signing event.

6. Data

You retain all rights to content you upload. You grant us a license to process it as required to operate the Service. See the Privacy Policy for detail on collection, sub-processors, retention, and deletion rights.

7. Service availability

We target 99.5% monthly uptime but do not guarantee it. Field-critical workflows continue to operate offline on installed PWAs and reconcile automatically on reconnect.

8. Termination

You can cancel anytime from billing settings. We can suspend an account for non-payment, abusive use, or legal violations; where possible we’ll provide notice and an export window.

9. Warranty + liability

The Service is provided “as is” without warranties beyond what applicable law requires. To the maximum extent permitted by law, Adaptensor’s aggregate liability is limited to fees paid in the 12 months preceding the claim.

10. Governing law

These Terms are governed by the laws of the State of Arkansas, excluding its conflict-of-laws rules. Disputes resolve in Pulaski County, Arkansas, unless required otherwise by law.

11. SMS / text messaging

Providing a mobile number is optional. If you opt in at sign-up or from your account settings, we send account-related SMS — project notifications, safety alerts, daily-report reminders, assigned-task updates, and the always-on jobsite-safety and OSHA-compliance events described in Section 12 below.

• Message frequency varies based on the activity on your projects.
• Message and data rates may apply; these are charged by your carrier, not by us.
• Reply STOP to any AdaptBuild SMS to unsubscribe from all AdaptBuild SMS (subject to Section 12). Reply HELP for support information.
• Consent to receive SMS is not a condition of purchase or of using the Service.
• Carriers are not liable for delayed or undelivered messages.

12. Safety-critical SMS notifications

A narrow, hardcoded list of jobsite-safety and OSHA-compliance events always sends an SMS to users with a verified phone number on the account, regardless of their notification preferences. Users with a verified phone cannot opt out of these messages (short of replying STOP, which disables all AdaptBuild SMS per 10DLC compliance). This is required to evidence attempted notification for jobsite-safety and OSHA documentation, and to provide a reliable channel when Web Push delivery is unavailable (e.g., iOS Safari without the installed PWA).

As of the effective date above, the safety-critical event list is:

• safety.incident_reported — a confirmed (reviewed) safety incident on a project you're on.
• safety.injury_active — an actively-unfolding injury on the jobsite reported by field staff.
• safety.osha_recordable — an incident determined to be OSHA-recordable (300-log).
• safety.cert_expired_day_of_work — a worker's certification expired on a day they're scheduled for safety-gated tasks.

Changes to this list are material and are announced 30 days in advance under Section 13 below. These events are also delivered via in-app, Web Push, and email — SMS is an additional channel, not the only one.

13. Changes

Material changes are announced in-product at least 30 days before they take effect. Continued use after the effective date means acceptance.
